ExclusionsandLimitations
Thiswarrantycoversthenormal andintendeduseof Force Band. It applies only tothe hardware product “Force Band”manufacturedby orforSphero,Inc.
that can beidentifiedbythe"Sphero"trademark,trade nameor logoaffixedtoit. TheLimited Warrantydoesnot applytoany non-Spherohardwareproduct
orany software,evenifpackagedorsoldwith the Force Bandhardwareproduct.Refer tothesoftwarelicenseagreementaccompanyingthesoftwarefor
details of your rights withrespecttoitsuse.
Spherodoesnot warrantthatthe operationof Force Bandwill beuninterruptedor error-free. Spherois notresponsiblefor damagearisingfromfailure to
followinstructions relatingtoForce Band’suse. This warrantydoesnotapplyto:
a)
Consumableparts, suchas batteries, orprotectivecoatings designedtodiminishovertimeunlessfailurehasoccurredduetoa defectin
materialsorworkmanship;
b)
Damagecausedbyusewithnon-Force Bandproducts;
c)
Damagecausedbyaccidents,misuse,abuse, neglect,misapplication,fire, water,lightning orotheracts of nature;incorrect electricalline
voltage,fluctuations orsurges;damagecausedbyimproperinstallation;productalteration or modification;improperorunauthorizedrepair;
exteriorfinishorcosmeticdamage;
d)
DamagecausedbyoperatingForce Bandoutsidetheintendeduses describedby Sphero;
e)
Defectscausedby normal wear and tearor otherwiseduetothe normal agingoftheForce Bandproduct.

INCIDENTALOR CONSEQUENTIALDAMAGESCAUSED BYTHE USE, MISUSEORINABILITYTO USETHISPRODUCT,OR ANY

PRICE OF FORCE BAND.WITHOUTLIMITING THEFOREGOING,PURCHASER ASSUMESALLRISKANDLIABILITYFORLOSS,
DAMAGEORINJURY TOPURCHASER AND PURCHASER'SPROPERTYANDTOOTHERSANDTHEIRPROPERTYARISINGOUT OF THEUSE,
MISUSEORINABILITYTOUSETHIS PRODUCTSOLD BY SPHERONOTCAUSEDDIRECTLYBYTHE GROSSNEGLIGENCEOFSPHERO.THIS
LIMITED WARRANTYSHALLNOTEXTENDTOANYONE OTHERTHANTHE ORIGINALPURCHASEROFTHISPRODUCT,ISNONTRANSFERABLE
ANDSTATESYOUREXCLUSIVEREMEDY.
Some states donot allowlimitationson how longanimplied warrantylasts, ortheexclusionor limitation of incidental orconsequentialdamages,sothe
abovelimitationsorexclusions may not applytoyou. This warranty gives youspecific legalrights andyoumay alsohave otherrights, which vary fromstate
tostate.
GoverningLawandArbitration.
This Limited Warranty shall be governed by the laws of the State of Colorado without giving effect to any conflict of laws principles that may provide the
application of the law of another jurisdiction. Any claim or dispute in connection with this Limited Warranty shall be resolved in a cost effective manner
through binding non-appearance-based arbitration. The arbitration shall be initiated through an established alternative dispute resolution provide mutually
agreeduponbytheparties.The alternativedispute resolution providerandthepartiesmustcomply with thefollowingrules:
a)
Thearbitrationshallbeconductedbytelephone,onlineand/or besolely basedonwrittensubmissions,thespecific manner shallbechosenby
theparty initiatingthearbitration;
b)
Thearbitrationshall notinvolveanypersonalappearanceby thepartiesorwitnessesunlessotherwise mutually agreedby theparties;and
c)
Any judgmentontheaward renderedbythearbitrator may beenteredin any courtof competentjurisdiction.
If the foregoing arbitration clause does not apply for any reason, you agree to submit to the personal jurisdiction of the state courts located
within Boulder County, Colorado and the federal courts in Denver, Colorado for the purpose of litigating all such claims or disputes, which
courts shall have exclusive jurisdiction of such claims or disputes. Notwithstanding the foregoing, Sphero may seek injunctive or other
equitable relief to protect its intellectual property rights in any court of competent jurisdiction.
